California Bioenergy LLC (CalBio) is one of the country’s leading developers of dairy digester projects for generating renewable vehicle fuel and electricity.
Founded in 2006, CalBio works closely with local dairy farmers, the California Air Resources Board (CARB), the California Department of Food and Agriculture (CDFA), the California Public Utility Commission (CPUC), the California Energy Commission (CEC), the Environmental Protection Agency (EPA), and the dairy industry to develop projects and help the state reduce greenhouse gases (GHGs), protect local air and water quality, while creating local jobs and providing meaningful benefits to the dairy.
In partnership with its affiliates, Midwest Bioenergy, Northwest Bioenergy, and Southwest Bioenergy, the company is undertaking the development, construction, ownership, and operation of dozens of dairy digester projects across the country.
POSITION PURPOSE We are currently seeking an experienced paralegal to support our legal team located in Visalia, CA.

We have developed strong relationships with our dairy partners and communities, building strategic partnerships to support the company growth projections.
GENERAL DUTIES AND RESPONSIBILITIES The responsibilities will evolve overtime as the company’s needs change.
Support senior management in review of legal documents Perform legal research, analysis, and summary of legal documents Coordinate the preparation of legal documents and cooperate with third-party attorneys in representation of company interests.
Draft routine legal documents and correspondence, assist in preparing initial drafts for review and approval by corporate third-party attorneys as needed Assist third party counsel in litigation matters by responding to discovery requests, assisting with compiling information for responding to complaints, research of allegations as needed Provide timely responses to requesting departments and assist outside counsel Plan, organize, coordinate, and track programs and projects associated with various legal matters of the company Establish strong rapport and working relationships with other administrative staff, as well as strong relationships with outside counsel and lenders Foster and encourage a culture of superior service, responsiveness, safety, collegiality, and dairy and community engagement, while helping achieve the successful construction and operations of the company’s greenhouse gas reduction projects.
Real Estate Document Development and Management The typical document packages include Lease and Feedstock Supply Agreements, Non-Disturbance and Attornment Agreements, easements, License and Indemnification Agreements, and various related memoranda of recording.
Obtain preliminary title reports, land surveys, legal entity identification documents, real property history, and chain of title.
Manage all documents and integrate with map development to assure that the full project land package is complete and recordable.
Work closely with engineering firms to develop appropriate document exhibits and review for accuracy.
Create and manage critical trackers/checklists, virtual data rooms (Dropbox and SharePoint).
With assistance from counsel draft project agreements Review document inputs for accuracy and consistency.
Coordinate and provide title company complete packages for document recording.
Work with counsel, debt providers and investors to assure complete document packages to secure title insurance and close funding.
Construction and Operation Contracts Manage and assist in developing Engineering, Procurement, and Construction (EPC) documents.
Assist engineering and construction team in assuring that real estate documents are in place allowing EPC work to begin on time and according to project schedule.
When needed, support the construction team to manage critical trackers/checklists, and data rooms.
Assist engineering and construction with receipt of permits for air quality, water, county, and other compliance management.
May include at times direct interaction with responsible agencies.
Grant Package Development and Organization Assist CalBio team in developing grant packages when they become available Aid in completion of thorough and complete grant packages assuring compliance with the solicitation.
Coordinate document development and collection from various CalBio teams Review documentation for accuracy and completeness.
Work closely with other team members to effectively manage the grant schedule and work requirements.
Record Keeping Work with all teams to assure legal records are maintained for appropriate levels of access and security.
Assist with assuring the record retention requirements are being achieved and that appropriate tracking measures are in place for record disposal.
Knowledge and Skills Basic principles, concepts and methodology of legal proceedings and legal research.
Knowledge of attorney client relationships applicable to real estate transactions and negotiations.
Problem identification, analysis, and evaluation.
Principles of effective writing and verbal presentation.
Excellent communication skills.
Organizational skills and a keen eye for detail Strong working background in Microsoft Office Suite of programs.
Work well as a team while managing administration of confidential legal documents.
Minimum Qualifications Bachelor’s degree, or equivalent work experience in a field that develops the skills required for the functions and responsibilities of the position.
Completion of an approved paralegal program and Minimum two (2) years’ experience as a paralegal.
Preferred but not required successful completion of the State Bar validated standard tests for the position.
